Terms of Service

1. Who we are and what these terms cover
These Terms of Service govern your use of Patent Radar (the “Service”), provided by Drug Landscape Ltd, a company registered in England and Wales with company number 17116026, registered office PO Box 7169, Poole, BH15 9EL, United Kingdom (“Drug Landscape”, “we”, “us”, “our”). By signing in to or paying for the Service you accept these terms.
2. Definitions
- Service, the Patent Radar dashboard, scan endpoints, integrations and exports at patentradar.ai.
- Customer, the business or individual that holds the paying account.
- User, any natural person we let into the account on the Customer's behalf.
- Output, claim charts, evidence summaries, PDF exports and other material produced by the Service.
- Customer Data, the patents, trademarks, claim text and other input the Customer provides.
- Subscription, a paid period of access to the Service.
3. The Service is a draft tool, not legal advice
All Output is draft material for review by qualified legal counsel. Nothing produced by Patent Radar is a legal opinion, an infringement determination, a freedom-to-operate clearance, or advice on whether to commence proceedings. The Customer is responsible for engaging counsel before acting on any Output.
The Service uses automated assessment, including large language models, to surface potential matches and estimate confidence. We make no warranty as to the completeness, accuracy or legal sufficiency of any Output. Confidence tiers (high, medium, low) reflect software-modelled likelihood only and are not legal opinions.
4. We never contact alleged infringers
Under the UK Patents Act 1977 §§ 70–70F and equivalent regimes in Germany, the Netherlands, Ireland and other EU jurisdictions, an unjustified threat of infringement proceedings is a strict-liability tort. The Service is designed to keep Output with the rights holder and counsel only. The Customer agrees not to use the Service to send, forward, or summarise demand letters, cease and desist notifications, or other communications threatening infringement proceedings to any third party.
5. Account and access
The Subscription is for a single legal entity. Account credentials may not be shared between people. The Customer is responsible for keeping credentials secure and for activity under its account, including by authorised Users.
6. Pricing, billing and renewal
Pricing is set by quotation. The Service does not publish a public price list and Subscriptions are initiated by direct invoice or Stripe Payment Link. Unless otherwise agreed in writing, Subscriptions are monthly and renew automatically until cancelled.
Auto-renewal disclosure (DMCC 2024). Where the Service renews automatically, we will send a renewal reminder by email no fewer than ten working days before the renewal date. Cancellation can be actioned at any time from the dashboard or by email to support@patentradar.ai. Cancellation takes effect at the end of the then-current billing period.
Refunds.Payments for a partial month are non-refundable. Refunds for service failures are addressed under § 11.
7. Customer Data, ownership
All Customer Data remains the Customer's. We process it solely to deliver the Service and to comply with our legal obligations. We do not use Customer Data to train any machine learning model, fine-tune any large language model, build any benchmark dataset, or develop any feature that exposes one Customer's data to another.
8. Output, ownership and licence
The Customer owns the Output specific to its patents, trademarks and queries. The underlying software, agent pipelines, dashboard, evidence-extraction logic, claim-element matching, prompts and trade-mark rights remain Drug Landscape's. The Customer grants Drug Landscape a limited, non-exclusive licence to host, store and process Customer Data and Output strictly to deliver the Service.
9. Acceptable use
The Customer agrees not to:
- Use the Service to send threats of infringement proceedings, demand letters or notices to any third party.
- Re-sell, sub-licence or expose the Service to third parties outside the Customer's legal entity without our prior written consent.
- Scrape, copy or systematically extract data from the Service for purposes other than the Customer's own IP intelligence.
- Submit content that infringes third-party rights, including personal data outside the scope of the Service.
- Use the Service to develop a competing product.
10. Service availability
We target 99.5 % monthly uptime measured outside scheduled maintenance windows. We do not commit to a specific service-credit regime. Material service failures should be reported to support@patentradar.ai.
11. Liability cap and exclusions
Subject to § 12 below, Drug Landscape's total liability to the Customer for all claims arising under or in connection with these terms (whether in contract, tort, breach of statutory duty, or otherwise) shall not exceed the fees paid by the Customer for the Service in the twelve months preceding the event giving rise to the claim.
Drug Landscape shall not be liable to the Customer for any indirect, consequential, special, exemplary or punitive loss, including but not limited to loss of profit, revenue, anticipated savings, business opportunity, goodwill, data, or loss arising from the Customer's reliance on Output without legal review.
12. Liability not excluded
Nothing in these terms limits or excludes liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) any matter for which liability cannot be limited or excluded by law, in particular under the Consumer Rights Act 2015 where the Customer is a consumer, and under the Unfair Contract Terms Act 1977 generally.
13. Indemnity
Each party shall indemnify the other against losses arising from the indemnifying party's breach of § 9 (Acceptable use), § 7 (Customer Data ownership) or unlawful use of the Service. The indemnity is capped at the same limit as § 11.
14. Confidentiality
Each party shall keep the other party's confidential information confidential and shall not use it except to perform these terms. Drug Landscape may name the Customer in customer lists, subject to the Customer's prior written consent.
15. Data processing
Where Drug Landscape processes personal data on the Customer's behalf in the course of delivering the Service, it does so as a data processor under Article 28 of the UK GDPR. The terms governing that processing are set out in our Privacy Notice and the Data Processing Addendum incorporated by reference. The sub-processor list (Vercel, Neon, Resend, Stripe, ImprovMX, Groq, Anthropic, PostHog) is maintained on the Privacy Notice page.
16. Term and termination
Either party may terminate the Subscription at any time with effect at the end of the then-current billing period. Drug Landscape may suspend or terminate the Service immediately on written notice if the Customer commits a material breach of § 4 (no threats) or § 9 (acceptable use).
17. Force majeure
Neither party shall be liable for failure or delay in performance to the extent caused by events outside its reasonable control, including industrial action, war, pandemic, third-party infrastructure failure or governmental action. The affected party shall use reasonable efforts to mitigate.
18. Changes to these terms
We may amend these terms by giving the Customer at least thirty days' notice by email to the account owner. Continued use after the notice period constitutes acceptance. If the Customer rejects a change, the Customer may terminate the Subscription with effect from the change date.
19. Status of this document
This document is a complete draft. Specific clauses (in particular §§ 11–13 on liability and indemnity, and § 4 on the threats regime) are pending final review by Drug Landscape's solicitor and may change before formal counter-signature. Until that review completes, an existing Customer's rights are governed by the version of these terms in force on the date the Customer's Subscription began. 20. Governing law and jurisdiction
These terms are governed by the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales for any dispute arising under or in connection with these terms.
